As the leading modern data platform—and the first database company to IPO in over 20 years—we are looking for a Director, Corporate Counsel to lead critical corporate, securities, and governance initiatives across our global organization.

Reporting to our Deputy General Counsel, you will serve as a strategic legal partner to the Board of Directors, executive management, Finance, HR, and Investor Relations. You will drive public company compliance, oversee corporate transactions, and architect scalable legal operations for a high-growth environment.

We are looking to speak to candidates who are based in New York City, NY for our hybrid working model.

Key Responsibilities
  • SEC Compliance & Capital Markets: Own end-to-end public company reporting and disclosure processes, including Forms 10-K, 10-Q, 8-K, and Section 16 filings. Lead legal execution for equity/debt offerings and capital market transactions
  • Corporate Governance & Board Support: Advise senior leadership and the Board of Directors (and its committees) on corporate governance best practices, ESG, and annual stockholder meeting preparation, including managing the annual Proxy Statement
  • M&A & Strategic Growth: Lead legal strategy, diligence, drafting, negotiation, and post-closing integration for mergers, acquisitions, joint ventures, and strategic investments
  • Corporate Finance & Equity Operations: Partner with HR and Finance to design, administer, and maintain legal oversight of global equity programs, executive compensation matters, and trade compliance policies
  • Investor Relations & Communications: Provide strategic legal counsel on earnings releases, investor presentations, public disclosures, and corporate PR initiatives
  • Legal Tech & Team Leadership: Direct external counsel performance and legal budgets. Drive operational innovation by implementing advanced technologies and AI workflows to optimize legal delivery across cross-functional teams
Qualifications
  • Education & Bar: J.D. from an accredited law school and active bar membership in good standing
  • Experience: 10–12+ years of corporate experience spanning a top-tier law firm and a fast-growing, public technology company
  • Subject Matter Expertise: Proven record of leading public company SEC filings, corporate governance frameworks, M&A transactions, and board-level reporting
  • Executive Presence: Exceptional communication and advisory skills, with a track record of driving consensus and advising C-suite executives and board members
  • Strategic Vision & Execution: Strong business acumen, sound risk evaluation skills, and the ability to scale legal frameworks in a dynamic market environment

MongoDB’s base salary range for this role is posted below. Compensation at the time of offer is unique to each candidate and based on a variety of factors such as skill set, experience, qualifications, and work location. Salary is one part of MongoDB’s total compensation and benefits package. Other benefits for eligible employees may include: equity, participation in the employee stock purchase program, flexible paid time off, 20 weeks fully-paid gender-neutral parental leave, fertility and adoption assistance, 401(k) plan, mental health counseling, access to transgender-inclusive health insurance coverage, and health benefits offerings. Please note, the base salary range listed below and the benefits in this paragraph are only applicable to U.S.-based candidates.
