The Role
This is a rare opportunity for a mid-level associate or junior in-house counsel to partner directly with a General Counsel and help develop the corporate and securities function of a hyper-growth automotive manufacturer.
You won't just be doing grunt work; you will be a major contributor to ensuring our corporate governance, helping build the legal infrastructure for IPO readiness, managing our capitalization table, and conducting M&A diligence. This is a developmental role designed for expansive learning and growth.
What You Will Do
- Corporate Governance: Manage the company’s corporate housekeeping, including Board of Directors materials, minutes, and other documents.
- Securities & Capital Markets: Oversee the legal aspects of future equity and debt financings, in close collaboration with the finance team. Manage cap table administration (Carta or similar) and stock plan administration.
- IPO Readiness: Partner with the GC and finance team to build the internal controls, policies, and reporting structures required for a public listing (SEC '33 and '34 Act compliance).
- M&A & Strategic Transactions: Act as internal counsel for mergers, acquisitions, and joint ventures, coordinating due diligence and helping managing outside counsel.
- Commercial Support: Provide support on complex commercial agreements, partnering with engineering and supply chain teams to grow the business.
- General Team Player: Dig in to provide legal guidance to clients across the company as part of a lean legal team.
Who You Are
- The “Foundation”: You trained at a top-tier law firm (AmLaw 50 preferred) and understand the rigor required for high-stakes corporate transactions.
- The "Builder" Mindset: You want to roll up your sleeves, build processes from scratch, and see the physical result of your work drive out of the factory. A willingness to learn and a positive attitude are a must.
- The "Athlete": You can shift gears instantly from drafting a board resolution to negotiating a vendor contract to advising on an employment issue.
Qualifications
- Education: J.D. from a top-tier accredited law school.
- Licensure: Active Bar admission in California (or ability to register immediately as Registered In-House Counsel).
- Experience: 3–5 years of relevant experience, primarily in Corporate, M&A, and Securities.
- Technical Skills: Strong familiarity with corporate governance, venture capital financing, M&A deal structures, commercial contracts, and the basics of SEC reporting/public company governance.
- Bonus Points: Experience in the Automotive, Mobility, Hardware, or CleanTech sectors.
