What You’ll Do: We are seeking a detail-oriented Corporate Counsel to lead contract negotiations for our rapidly growing SaaS business. In this role, you will be responsible for negotiating, drafting, and reviewing commercial software contracts that drive revenue and mitigate risk. The ideal candidate will have deep experience in SaaS agreements, vendor contracts, partnerships, and regulatory compliance, with strong negotiation skills to support business objectives while protecting company interests.
How You’ll Succeed:
- Lead Contract Negotiations: Serve as the primary legal contact for negotiating contracts, including SaaS agreements, enterprise customer contracts, vendor agreements, and strategic partnerships.
- Draft & Review Agreements: Develop clear, legally sound contracts that align with business goals, risk mitigation strategies, and industry best practices.
- Cross-Functional Collaboration: Work closely with sales, procurement, finance, and product teams to ensure contract terms align with company objectives.
- Risk Management: Identify potential risks in contractual obligations and develop solutions that balance legal compliance with business flexibility.
- Regulatory Compliance: Ensure agreements comply with data privacy laws (GDPR, CCPA), cybersecurity standards, and industry regulations.
- Contract Process Optimization: Help build and refine contract templates, policies, and negotiation playbooks to improve efficiency and consistency.
- Dispute Resolution & Enforcement: Support resolution of contract-related disputes and ensure effective enforcement of contractual obligations
What We're Looking For:
- Juris Doctor (JD) degree from an accredited law school.
- Licensed to practice law in Colorado
- 5-8+ years of legal experience, preferably in a SaaS or technology company.
- Strong knowledge of contract law and data privacy regulations.
- Excellent negotiation, analytical, and communication skills.
- Ability to work in a fast-paced, high-growth environment and manage multiple priorities.
- Experience working with CLM software (such as Ironclad).
Strongly prefer candidate in Denver metro area with hybrid work environment.
