The Corporate Counsel (Transactions) will provide legal expertise in matters relating to the operation of Aya Healthcare with a focus on handling vendor and supplier agreements, procurement contracts, marketing agreements, and other transactional commercial matters.  While the core responsibility of this role centers on supporting business operations through vendor contracting, the position may also provide support on technology transactions, including SaaS and licensing agreements, as needed to assist the broader legal team.

This position can be remote with a preference in PST / MST / CST time zone.

RESPONSIBILITIES:

  • Review, draft, redline, negotiate, and approve for execution, Aya Healthcare’s day-to-day business to business contracts and contract amendments, including vendor, supplier, professional services, licensing, and other commercial agreements that support business operations. 
  • Partner with Procurement, IT, Security, and business stakeholders to support contract lifecycle management, risk assessments, and internal approval processes for third-party vendor engagements.
  • Develop and recommend improvements for standard contractual documents, templates, playbooks and clause libraries. 
  • Assist internal clients with contract negotiation and RFP responses, as appropriate.
  • Perform legal analysis and make recommendations on legal, contractual, risk, and compliance issues relating to vendor relationships. 
  • Provide secondary support on SaaS, licensing, and other technology-related agreements as needed to assist team members managing those portfolios.

REQUIRED QUALIFICATIONS: 

  • Must be admitted to the Bar and in good standing
  • Must have J.D. from ABA-accredited law school
  • 4+ years’ experience dealing with transactional matters is highly preferred
  • Experience in healthcare, staffing, or services industry a plus
  • Familiarity with procurement processes, vendor risk assessment frameworks, and related compliance issues (e.g., data privacy, cybersecurity, insurance coverage) is a plus
  • Preferred prior experience at a mid to large sized law firm and in-house legal department
  • Preferred experience working with contract management or document management software
  • Ability to work accurately in fast-paced environment and maintain a sense of urgency
  • Ability to communicate complex legal and risk-related concepts clearly and concisely to non-legal stakeholders
  • Exceptional attention to detail
  • Strong negotiation and communication skills

COMPENSATION: Aya reasonably anticipates the pay scale for this position to be $180,000 to $200,000 annually.      

The pay scale for this position may vary if applicant possesses experience outside of what Aya reasonably anticipates for this position. Bonuses are subject to the role and your manager’s discretion.
