Your Impact
As a Corporate Contract Paralegal at Next Health, you will be integral in supporting the executive team and ensuring the seamless functioning of our legal processes. Your duties will entail conducting legal research, preparing documents, managing files, and aiding in the establishment of new entities. Your meticulous attention to detail and organizational prowess will play a crucial role in upholding the precision and efficacy of our legal operations. Moreover, your capability to handle confidential information discreetly will safeguard the integrity of our legal affairs.
 
Job Description
We're in search of a proactive and highly skilled Corporate Contract Paralegal to deliver comprehensive administrative support to our executives. In this dynamic role, your responsibilities will include:
  • Demonstrate alignment with Next Health’s core values and mission in all aspects of work.
  • Conduct legal research to support compliance initiatives and business operations.
  • Draft, review, manage, and maintain legal documents, including contracts, agreements, corporate filings, and entity records, ensuring accuracy and compliance with applicable laws.
  • Coordinate contract execution, including obtaining approvals and signatures, and ensuring proper distribution and recordkeeping.
  • Maintain centralized databases and corporate legal records, ensuring data integrity, accessibility, and regulatory compliance.
  • Support entity formation, governance, registration, maintenance, and dissolution, including preparation and filing of state and federal documentation.
  • Prepare and manage annual reports, state filings, and compliance documents to ensure all entities remain in good standing.
  • File legal documents with governmental agencies in accordance with deadlines and procedural requirements.
  • Liaise with outside counsel, facilitating communication and providing necessary documentation.
  • Communicate with internal stakeholders and clients under attorney supervision to gather information, provide updates, and respond to inquiries.
  • Support venture financing activities (Seed through Series rounds), including SAFEs, convertible notes, and key financing documents such as term sheets and stock purchase agreements.
  • Manage data rooms and organize diligence materials for financing and other transactions.
  • Support the administration and renewal of corporate insurance policies, including general liability, workers’ compensation, professional liability, and property coverage.
  • Safeguard sensitive and confidential information with the highest level of discretion.
  • Stay current on legal developments, procedures, and best practices through ongoing professional development.
  • Provide general administrative and project support to the legal team as needed.

  • Identify risks and develop mitigation strategies to address potential roadblocks.
  • Facilitate meetings, track progress, and provide regular updates to stakeholders.
  • Ensure alignment of legal and project initiatives with organizational priorities.
  • Proactively identify opportunities to improve processes and drive operational efficiency.
What You Will Bring
We're seeking candidates who possess:
  • Bachelor's degree in Paralegal Studies, Legal Studies, or related field required.
  • Minimum of 3-5 years of experience working as a paralegal in a corporate or healthcare setting.
  • Excellent written and verbal communication abilities.
  • Strong attention to detail and problem-solving capabilities.
  • Paralegal certification preferred.
  • Proficiency in legal research methods and software.
  • Strong understanding of legal terminology, procedures, and documentation standards.
  • Proficiency in productivity tools and software (e.g., Microsoft Office Suite, Notion, G Suite, calendar management tools).
  • Ability to multitask and prioritize tasks in a fast-paced environment.
  • Discretion and professionalism in handling sensitive and confidential information.

Expected Compensation
The expected compensation for this position is $90,000 to $95,000 per year, plus benefits.
 
Please note that pay offered may vary based on individual factors such as knowledge, skills, and experience. The total compensation package may also include additional elements specific to the position offered. Details regarding participation in benefit plans will be provided upon receiving an offer of employment.
