A Contracts Manager at COMPLY, will provide cross functional support to colleagues across the organization including Sales, Finance, IT, Product, and Customer Support in order to drive strategic solutions to the company. Responsibilities:
- Draft, review and negotiate all forms of customer and supplier documents including SaaS, PaaS, cloud, software license, professional and consulting services agreements, education and training contracts, NDAs, SOWs, event contracts, and partner contracts.
- Manage the contract lifecycle including processing electronic signatures.
- Research, develop and maintain legal policies, playbooks, training, and templates, intake processes and workflows, contract tooling, and other mechanisms to drive consistency, automation and efficiency in processing contracts.
- Effectively collaborate with the key stakeholders to understand contract requirements and ensure terms support business objectives.
- Assist, review, and advise the business on matters related to customer contracts, templates, and agreements in place with existing customers.
- Regularly contribute to and refine templates, playbooks, and guidance documents. Support department-wide efforts to organize, manage, and archive contracts and agreement templates.
- Participate in special projects in support of the General Counsel to develop, implement and enhance processes and policies that improve transaction velocity, efficiency, and standardization without material increase in risk.
- Provide contracts training and counseling to individuals throughout the organization.
- Coordinate with the legal team on compliance and other policy matters.
Qualifications:
- Minimum 3 years of in-house contract management experience, preferably in a SaaS technology company.
- Familiarity and experience reviewing and negotiating data security, data privacy, and intellectual property matters
- Knowledge of, and experience with, drafting and developing IT contracts, forms, policies and procedures including SaaS, services, statements of work, non-disclosure agreements, data processing, and other contracts;
- Experience reviewing documents associated with GDPR, CCPA, NY DFS and other data privacy laws; and
- Excellent written and verbal skills, top-notch project management and record keeping skills and the ability to take directions and work independently in a fast-paced technology environment.
Nice to Haves:
- Substantial experience supporting FinTech or RegTech organizations and/or working with customer in the Financial Services Industry;
- Familiarity with SEC, FINRA, FCA and other financial service market laws, rules and regulations; and/or
- Experience supporting Sales and Renewals organizations as internal clients.
