The Role

We’re looking for a Contract Engagement Advisor who thrives at the intersection of strategy, analytics, and real-world impact. How you will contribute:
- Learn and understand Truven’s products, business model, strategy, culture, etc. to develop a deep understanding of the business and support its revenue goals through contractingactivities.
- Initiate, review, redline, and efficiently negotiate a broad range of transactional contracts including, but not limited to, data agreements, software as a service agreements, master agreements, statements of work, business associate agreements, trial agreements, non-disclosure agreements, teaming agreements independent contractor agreements, and vendor agreements.
- Support Truven by efficiently managing standard and complex contracts.
- Drive competitive bid efforts through the evaluation of RFIs and RFPs, identification of issues and provision of subject matter expertise bid response.
- Analyze contract terms and conditions, evaluate prior terms and conditions, determine the need for contract amendments or renewals, and make recommendations and/or negotiate revisions within guidelines, utilizing contract playbooks and feedback from subject matter experts to support the company’s financial objectives.
- Coordinate contract review and collaborate with internal subject matter experts and functional leads (e.g., in house counsel, sales, compliance, finance/accounting, information security, etc.) to receive and provide guidance on contract terms and risks; draft alternate contract provisions that are aligned with company policies and stakeholder feedback.
- Develop strong business relationships with key internal stakeholders including Truven leadership, and external parties such as customers and suppliers to ensure an effective,efficient and beneficial contracting experience.
- Assist with managing playbooks, templates, processes and clause libraries and participate in key meetings and training to optimize enterprise contracting processes and drive compliance with Truven contracting policies and procedures.
- Work with existing contract management systems and contract processes and identify,implement and support improvements and new technologies.
- Perform other duties and responsibilities as needed, requested, and/or assigned.
About You
What you will bring:
- Bachelor’s Degree plus 10 years of experience drafting, negotiating and consulting on contracts.
- Experience in working with data privacy issues and agreements
- Experience in some combination of the following industries: healthcare technology, technology software & services or healthcare.
- Excellent drafting and negotiation skills and demonstrated ability to close complextransactions.
- Practical, business-driven problem solver with proven ability to manage competing priorities and close complex transactions in a dynamic environment.
- Exceptionally detail oriented, possesses a sense of urgency, and produces high-quality work with minimal supervision
- An unwavering commitment to customer service for internal and external clients.
- Exceptional interpersonal skills and verbal and written communication skills, with the ability influence and drive change and communicate with diverse personalities in a tactful, reliable and flexible manner.
- Advanced level skills with Microsoft Word and PowerPoint; experience with or ability to learn to use CRM and CLM tools

- Experience providing training or education to internal clients
- Experience in driving organizational change and improvements
- Experience with government contracts and procurement processes
