This position reports to the Assistant General Counsel. The candidate will be remotely based in the US.
What You’ll Do
- Review, draft (from templates and from scratch), and negotiate a variety of commercial contracts, including (i) customer and vendor agreements, (ii) business associate agreements and (iii) non-disclosure agreements.
- Analyze contract terms to identify potential risks and opportunities ensuring all contracts comply with applicable laws and regulations and internal practices and policies.
- Assist with maintenance of contracting database.
- Collaborate with growth, finance, and information security to ensure compliance and proper execution of agreements.
- Conducting periodic audits of the contract repository to identify areas of improvement within the contracting process and/or contract clauses.
- Reviewing contract amendments, extensions and the drafting of ordering documents for several different service offerings.
Preferred Education & Experience
- Bachelor’s degree required, preferably in business administration, law or related field.
- At least 2 – 4 years’ experience in contract analysis or related role.
- Proficiency in contract management software and tools.
- Strong cultural fit - world-class, humble, hard-working and continuous learner.
- Superior verbal and written communication skills (including contract drafting), including the ability to communicate concisely with clients & team members.
- Strong organizational and time management skills, with the ability and willingness to spend the time necessary to meet demanding deadlines and adjust to shifting priorities.
- Ability to think creatively and strategically, with both business acumen and legal skills.
- Ideal candidate would have experience in SaaS technology transactions or healthcare/healthcare IT.
Information Security and Compliance Responsibilities:
- Maintain compliance with training directives required by the organization pertaining to Information Security, Acceptable Use Policy and HIPAA Privacy and Security.
- Adhere to and comply with the organizations Acceptable Use Policy.
- Safeguard information system assets by identifying and reporting potential and actual security events to the organizations Security and Compliance Officers.
