We're growing our Legal team and looking for a talented Commercial Counsel to be our second attorney and work alongside an exceptional contracts team. This role reports to the Chief Legal Officer and is heavily focused on commercial contracting — but it's also a genuine opportunity to grow with the business, take on increasing responsibility over time, and help shape what the legal function looks like at GuidePoint in the years ahead. You'll also partner closely with our Legal Operations function to build the scalable infrastructure the business needs as we continue to grow.

Roles and Responsibilities:   

Draft, review, and negotiate a broad range of commercial agreements, including master agreements with GuidePoint customers, reseller agreements, and data processing agreements. You will manage complex negotiations with sophisticated enterprise customers and technology partners.Provide clear, practical, bottom-line guidance that enables the business to move forward — not just identify risk. You must be finding solutions.Partner closely with our Director of Legal Operations to develop, refine, and maintain contract templates, standardized forms, negotiation playbooks and fallback positions.Advise on data privacy and security terms embedded in commercial agreements, including cybersecurity-specific contractual requirements. Partner with internal security and compliance teams to ensure contractual commitments align with GuidePoint's security posture.

Required Experience:  

  • Business-oriented mindset — you translate legal complexity into clear, actionable guidance. This is the most important requirement for a reason. 
  • J.D. from an accredited law school and active bar membership in good standing in at least one U.S. state
  • 3-8 years of relevant legal experience, with strong preference for in-house experience at a technology company
  • Demonstrated ability to independently draft and negotiate complex commercial agreements with minimal oversight
  • Experience supporting sales and GTM teams in a technology company environment
  • Exposure to AI-related contractual and regulatory issues preferred
  • Excellent written and verbal communication skills — concise, direct, and audience-aware
  • Strong organizational skills with the ability to manage competing priorities independently
  • Comfort operating remotely and asynchronously across time zones
  • A collaborative, team-first mindset — you work with people, not around them
  • Prior experience at a cybersecurity company or reseller preferred
  • Experience negotiating enterprise agreements with Fortune 500 legal and procurement counterparties preferred
  • Familiarity with channel and partner agreements, including reseller and MSP structures preferred

Travel Requirements:

  • Up to 10%

Physical Requirements:

  • Sedentary work
  • Substantial movement of the wrists, hands, and/or fingers for a minimum of 8 hours a day
  • Required to have close visual acuity to view computer terminal and/or extensive reading for a minimum of 8 hours a day
