As a first mover in 2018, we have nearly 500 MWs of data centers operating, with an additional 3 GWs of data center projects under development. The Role

Our team brings deep expertise across electric power markets, project development, and software development, positioning us as trusted experts in this rapidly evolving market. We are seeking a highly motivated Commercial Counsel to own and drive our commercialization efforts, deal structuring, and contract execution. 

This position is ideal for someone who thrives in a fast-paced, high-growth environment, is comfortable navigating complexity, and enjoys working at the intersection of energy and technology. As we scale, you will play a key role in shaping company strategy, supporting team growth, and building a more decentralized and sustainable energy future.

Your Day-to-Day
  • Deal Structuring: You will lead the refinement and development of complex, multi-party energy contracts, shared facility agreements, land agreements, and other commercial agreements, from term sheets through commercial close. Your work will ensure contracts are commercially sound, executable, and aligned with regulatory and stakeholder requirements.
  • Legal Translation and Stakeholder Alignment: You will act as a bridge between the business teams and legal counsel of buyers and sellers, load serving entities, and other stakeholders, clarifying priorities, guiding negotiations, and reducing friction across counterparties. Your commercial judgment will accelerate deal velocity.
  • Process Optimization and Playbook Creation: You will design repeatable contracting systems, including templates, issue lists, and workflows, that empower the growth and development teams and reduce reliance on external counsel. Your work will minimize rework and unlock scale.
  • Strategic Growth and Market Expansion: You will support Satoshi’s expansion into new markets and business models, advising on risk, structuring, regulatory pathways, and go-to-market strategies. Your input will help shape commercial strategies for co-development, ownership, and new partnerships and guide our expansion efforts. You will develop creative commercial terms that make novel business models possible, while aligning diverse stakeholders and ensuring outcomes meet business objectives.
  • Smart Contract Exploration and Product Collaboration: You may contribute to the design of bitcoin-enabled contracting and settlement tools. Working with the product team, your input will help translate legal structures into programmable logic for emerging software products.
Requirements
  • 7+ years of experience structuring and negotiating complex commercial agreements in energy, infrastructure, or project development
  • A Juris Doctor (JD) degree from an accredited university, with fluency in energy contracts, credit structures, and regulatory frameworks
  • Ability to translate between legal and business teams, aligning stakeholders and accelerating deal execution
  • Knowledge of energy markets and contracting structures, including PPAs, interconnection processes, and load-generation pairing
  • Experience creating scalable contracting systems, including templates, playbooks, and issue lists
  • Skill in developing creative, commercially sound terms that support new business models and mitigate risk
  • Experience negotiating across multiple stakeholders with divergent incentives
  • Comfort operating in fast-paced, high-complexity environments with evolving priorities
  • Strong written communication skills for internal memos, deal summaries, and contract rationale documentation
Preferred skills
  • Obsession with sustainable energy, sound money, and/or emerging AI technology. 
  • Interest in bitcoin and programmable energy contracts (a plus)
