The Associate Legal Counsel will draft and review agreements, provide legal advice on compliance and risk management, and improve legal processes.

Responsibilities:
- Draft, review, and negotiate a broad range of commercial agreements, including master service agreements, vendor agreements, partnership agreements, data licensing agreements, and non-disclosure agreements.
- Provide practical and solutions-oriented legal advice to internal stakeholders across various departments, including sales, business development, product, and operations.
- Identify, assess, and communicate legal and commercial risks associated with business transactions, collaborating with relevant teams to develop mitigation strategies.
- Support the continuous improvement and development of contract templates, playbooks, and internal legal processes to bring greater efficiency to the contracting process.
- Conduct legal research and provide guidance on a variety of legal and business issues relevant to Windfall's operations, with a focus on contract law and data-related regulations.
- Ensure compliance with applicable laws and regulations in all contractual arrangements.
- Identify and improve operational efficiencies in the legal & contracting space. Research and implement technology tools to drive efficiency
- Build internal legal “playbooks” to ensure consistency in common negotiations.
- Assist in training business teams on contract-related matters and best practices.
- Contribute legal expertise to strategic initiatives, including fundraising and M&A.
- Handle miscellaneous legal tasks as needed, under the guidance of our COO.
Requirements:
- Juris Doctorate (J.D.) degree from an accredited law school.
- Active and in good standing with a State Bar.
- 3+ years of experience as an attorney, with a strong emphasis on contract drafting and negotiation, preferably in an in-house legal environment or a law firm with a commercial contracts practice.
- Experience with data privacy and security laws (e.g., GDPR, CCPA).
- Demonstrated ability to analyze complex legal issues, identify practical solutions, and communicate them clearly and concisely to both legal and non-legal audiences.
- Excellent written and verbal communication, interpersonal, and negotiation skills.
- Strong organizational skills and meticulous attention to detail.
- Ability to manage multiple tasks simultaneously, prioritize effectively, and work autonomously in a fast-paced, high-growth environment.
- A self-starter with a strong work ethic and a desire to continuously learn and grow.
Preferred Qualifications:
- Familiarity with the technology or data industry.
- Experience contributing to the development of legal processes and contract management systems.
