The Optum Legal, Compliance, and Regulatory Affairs department is seeking an Associate General Counsel (AGC) to join its Growth Legal Team to provide contracting and transactional support to the Optum Growth and Customer office. The position will primarily provide legal guidance and contracting services to Optum Insight sales leaders.
The AGC will become part of an innovative and experienced team of attorneys and legal professionals that operate in a fast-paced and deadline-oriented environment. The candidate must be able to prioritize multiple competing priorities, communicate effectively with colleagues, internal clients, and customers, and have a desire to develop a deep knowledge of Optum product offerings. Significant contracting drafting experience is a requirement, and experience working in an in-house environment will be strongly considered. The AGC will be expected to handle contracting matters from beginning to end with minimal supervision, participate in team-wide process improvement initiatives, and provide guidance and oversight to non-attorneys and attorneys.

Primary Responsibilities:
- Provide transactional legal advice, support, and counsel for the Optum Insight Growth Team's sales functions
- Draft, review, and negotiate a broad range of complex commercial contracts with health care payers and providers, including professional services agreements, SaaS agreements, technology and data licenses, business associate agreements, and other commercial contracts
- Develop and maintain contract templates and playbooks to support efficient scaling
- Draft non-standard contract language or custom agreements based on negotiations or novel business arrangements
- Review counterparty (e.g., client, vendor, provider) contract templates to ensure necessary terms and conditions are included
- Serve as a leader for the customer contracting team and support team initiatives
- Review contract language for consistency and to eliminate conflicts
- Identify issues in contracts, proposals, or other documents that require escalation and engage senior legal counsel or other internal stakeholders as appropriate
- Communicate risks and explain contract language and terminology (e.g., limits of liability, indemnification, audits) appropriately for various audiences
- Defend the company's position and rationale on contract terms
- Meet with internal and external parties, including customers and outside counsel, to discuss and negotiate non-standard terms
- Identify, recommend, and engage appropriate internal or external stakeholders in the contracting process to problem-solve, resolve issues, and approve non-standard terms
- Manage multiple contract priorities (e.g., assigned matters, accounts, projects, tasks) and remain focused on key priorities in the contracting process
- Identify and participate in projects aimed at improving contract processes or customer service
- Search and maintain contract records and data
- Track and report contract status, exceptions, and non-standard approvals
- Operate proficiently within a paperless contracting environment

Required Qualifications:
- JD and active bar admission in at least 1 U.S. state
- 7+ years of relevant legal experience with documented experience in commercial contract drafting and negotiation, including technology, data, SaaS, and/or professional services contracts
- Proven solid transactional negotiation and drafting skills
- Proven solid business acumen and problem-solving ability
- Proven excellent written and verbal communication skills
- Demonstrated ability to build and maintain rapport with leaders, team members, employees, and external contacts, with proven ability to contribute to and lead team efforts
Preferred Qualifications:
- Experience working on agreements in the health care industry, including healthcare technology
- Experience working in a matrixed environment and with sales teams as part of a large in-house legal team, or law firm experience advising health care clients on commercial and transactional matters
- Demonstrated customer service and interpersonal communication skills
