What we’re looking for…

ScienceLogic is a fast-growing, multi-national technology company with an exciting opportunity for an Assistant General Counsel to report directly to our Chief Legal Officer.  This person will work within ScienceLogic’s Legal Department to provide services across the company, including daily work with Sales, Professional Services, Engineering, HR, and Finance.  

What you’ll be doing…

• Collaborate with sales/finance teams to structure win-win deals for global customers in a fast-paced environment

• Draft, review and negotiate enterprise-level technology licenses and SaaS agreements

• Management procurement projects, including negotiation of key vendor contracts

• Interface with outside counsel who advise the company on strategic transactions and regulatory compliance

• Advise Engineering on IP matters; support outside counsel who manage IP applications and registrations.

• Support ongoing administration of, and compliance with, a wide range of corporate policies

• Support commercial/IP due diligence in connection with future financings and M&A

• Support contracts administration (e.g., record-keeping, renewals)

Qualities you possess…

• Licensed to practice law in Virginia or ability to obtain admission in Virginia within 6 months

• J.D. from a well-regarded, accredited law school in the United States (or foreign equivalent with U.S. LLM)

• 8+ years of previous experience/training related to commercial contract negotiations and/or corporate-transactional practice. 10+ years preferred; substantial training in a highly regarded law firm is a plus

• Superior communication and organizational skills, ability to work independently

• The successful candidate must have the demonstrated ability to work autonomously and take ownership for substantial responsibilities within the legal department

Additional Skills/Interests that would be a plus…

• Experience and demonstrated interest related to information technology and software commercialization

• Foundational knowledge of AIOps and machine learning technology

• Expertise in one or more of the following spheres: information security/privacy law and compliance; government contracting; and/or or M&A

• Experience working with venture capital-backed and/or private equity-backed companies

• International deal experience
