Deluxe currently has an opening for a Vice President & Associate General Counsel, Transactional. This

position will be located in Burbank, CA.

SUMMARY:

International digital media, entertainment and technology services company, is seeking an experienced

transactional lawyer to join its in-house Legal Group in its Burbank, CA corporate headquarters.

DUTIES AND RESPONSIBILITIES:

 Critical member of Legal Department, providing direct support to other attorneys and business teams.

 Role reports directly to the General Counsel.

 Day-to-day responsibility for transactional matters for innovative company with multiple international locations.

 “Quarterback” for M&A and other strategic transactions that are often international / global in scope.

 Draft and negotiate complex agreements (including financing documents, strategic transaction documents,

customer contracts, vendor contracts, real estate and other financing arrangements).

 Proactively drive key transactional projects, including credit agreement analysis and financing transactions,

M&A, joint ventures and other strategic deals.

 Advise operational personnel on various corporate and commercial matters.

 Assist in managing outside counsel, including international local counsel and specialists.

REQUIREMENTS:

 Outstanding academic credentials.

 Member in good standing with California State Bar (or eligible for admission as Registered In-House Counsel).

 6+ years of work experience. Experience at a top-tier law firm preferred; Prior in-house experience a plus.

 Must have strong general transactional experience; Credit agreement / Financing experience strongly

preferred; M&A experience required.

 Excellent drafting and negotiating skills.

 Highly motivated self-starter, responsible, extremely detail-oriented, organized, able to work independently and

to handle multiple tasks in a fast paced, high pressure environment.

 Demonstrated ability to “own” and manage projects, dynamically problem solve and liaise and manage multidisciplinary

teams.

 Ability to “quarterback” cross-disciplinary deal teams and proactively drive deals.

 Strong interpersonal communication skills with personnel at all levels of the company.
