Senior Director, Corporate Counsel
VideoAmp is currently seeking a talented and enthusiastic Senior Director, Corporate Counsel who will be responsible for assisting with corporate development and corporate finance activities; managing legal administration and operations for the legal dept; and drafting, negotiating, and reviewing commercial contracts. You will work closely with VideoAmp’s CFO and other finance professionals as a strategic partner providing guidance on potential risks in financial, contractual, and compliance areas. You are passionate about all things data and tech, and have extensive knowledge of the digital space. You are accomplished in the areas of corporate finance and commercial transactions and you are ready to support the strategic objectives of a highly cross-functional organization.
RESPONSIBILITIES:
- Assist with corporate development and corporate finance activities, including due diligence process, negotiation of term sheets, reviewing loan agreements and debt instruments, all with the assistance of outside counsel.
- Take ownership over equity plan administration, support finance operations as needed, and manage outside corporate counsel.
- Process all types of stock grants, exercises, lapses.
- Maintain cap-table, and reconcile all equity plan activities.
- Maintain equity plan documents for internal compliance.
- Draft, negotiate, and review commercial contracts, including without limitation: SaaS, partnership, licensing, distribution, consulting, confidentiality, and other business and legal documents. Take ownership over legal administration and operations.
- Anticipate, provide timely evaluation and guidance on, and propose mitigation strategies on potential risks in contractual, privacy, compliance, financial, and legal areas.
QUALIFICATIONS:
- JD from an accredited law school.
- Minimum 4-6 years of experience in corporate finance and general corporate.
- 2-4 years of experience working with technology and/or digital media companies.
- Current member in good standing of the California or New York bar (must register as Registered In House Counsel for the State of California)
- Experience working in corporate finance and equity plan administration.
- Working knowledge of commercial sales transactions, preferably with a large company or firm.
- Experience negotiating and drafting commercial transactions with large media companies (agencies, programmers, and/or distributors).
- Experience with revenue recognition and other accounting issues that arise in commercial transactions with large software or digital media companies.
- Exceptional verbal and written communication skills in interactions with customers, partners, and all levels of VideoAmp employees.
- Experience with on-line privacy and data rights legal issues highly desired.
- Excellent organizational skills.
- Ability to work well with others, super-smart, passionate about what you do, funny (or, at least can take a joke), and fired up about the opportunity in front of VideoAmp.
- Developed business acumen, with ability to understand the company’s business and anticipate the nature and magnitude of issues that could arise in various settings.
