About the Role:


Reporting to the Chief Legal Officer, you will be joining a growing legal team as a leader and you will work on unique issues in a vibrant, fast-paced environment. As a talented, self-motivated, and experienced legal professional that is excited by taking on complex legal projects, you will be able to exercise sound, independent legal judgment in fast-paced, high-stakes circumstances, and must have a proven ability to translate complex legal issues into practical solutions for the company.


Viant is seeking a new member of our team to serve as Securities Counsel with strong experience in (1) drafting and reviewing regulatory documents required for filing with the Securities and Exchange Commission (the “SEC”), (2) managing corporate governance and updating and drafting policies and procedures for compliance with NASDAQ and SEC regulations and requirements, and (3) reviewing corporate communications including communications with investors, disclosures, press releases, marketing materials, and investor presentations. The role will also involve working on general corporate matters on the legal team.

  • Your primary responsibility will be to ensure our compliance with applicable securities laws and stock exchange regulations, prepare and review SEC filings including registration statements and Forms 10-K, 10-Q and 8-K, and review and advise on internal and external corporate communications
  • You will lead and/or assist with general corporate matters in the legal department, including potential acquisitions/M&A, financing, investment and other partnering projects
  • You will conduct legal support and analysis in our responses to RFPs
  • You will work on various special projects and other legal requests

Who You Are – Skills & Qualifications:

  • J.D. degree from ABA accredited law school
  • Bar: Must be a member in good standing in the State of CA
  • 8+ years’ of relevant securities law and public company reporting experience in a law firm or corporate environment
  • Experience structuring, negotiating and drafting a broad range of corporate transaction agreements, including mergers, acquisitions, joint ventures and strategic partnerships; financing agreements; shareholder and investor agreements; corporate governance documents, from bylaws and operating agreements to written consents; and general contracts for business development, procurement, marketing, technology development, confidentiality agreements, software licensing and services
  • Demonstrated ability to (i) identify and raise salient issues, (ii) draft language and propose various options that takes into account relevant strategic or business goals, and (iii) communicate issues, risks and solutions clearly and concisely to lawyers and non-lawyers alike
  • Experience dealing with diverse constituencies and external parties (customers, board members, investors, senior management, regulators and external counsel)
  • A willingness to learn the technical, market and customer objectives of our business, in order to provide business-oriented legal advice
  • Proven ability to handle multiple projects and assignments simultaneously, without significant direct supervision from a senior attorney, and still meet high quality and timeliness standards
  • A commitment to ethical conduct
  • Ability and desire to perform in a fast-paced, rapidly changing work environment
  • Proficiency with MS Office products
  • Ability to comprehend and communicate complex issues succinctly and clearly
  • An adaptable problem-solver who challenges the status quo, seeks to make things better and more efficient
  • Excellent critical thinking skills and great judgment. Decisive, forward thinking, energetic and accountable, with a strong work ethic.
  • Ability to work well under pressure with diligence, organization, and minimal supervision, and provide practical, business-friendly advice to clients
  • Ability to boil complex issues down to the bottom line and provide pragmatic advice that can be operationalized
  • Builds effective relationships inside and outside the company established on trust, respect and confidence
  • Collaborative work style, with the ability to build consensus, and drive for results 
  • Lastly, a good sense of humor is encouraged and appreciated

The Corporate Counsel position will be based at our Irvine, CA Headquarters. Currently, we are working remotely with the option to be on site. Our future approach will be a hybrid working model (in-office/remote) later this year!
